Abstract
Ono što je prije samo nekoliko godina bilo nezamislivo, danas se ostvaruje, nekada najveći konkurenti unutar pojedinih industrija, danas usko surađuju ili čak zajedno razvijaju i distribuiraju nove proizvode i usluge. U radu su istraženi motivi za spajanja i preuzimanja, sinergijski učinci te sumnjivi motivi za spajanje. Sinergija se definira kao ostvarivanje performansi kombiniranih poduzeća preko dostignuća koje mogu postići kao samostalna poduzeća, a neki od najvažnijih su: ulazak na nova tržišta, povećanje tržišnog udjela, proširenje portfolia proizvoda i usluga, uklanjanje konkurencije, pristup novim dobavljačkim i distributerskim kanalima, razvijanje novih proizvoda, postizanje ekonomije obujma. U praksi se pokazalo sljedeće: ukoliko u prvoj godini nakon tranksacije ne budu vidljivi neki od navedenih sinergijskih učinaka, moguće je da se oni neće realizirati ni u sljedećim godinama.

What only a few years ago was unthinkable, following is achieved, once the largest competitors within certain industries, today work closely together or even develop and distribute new products and services. The research explored the motives for mergers and acquisitions, synergy effects and questionable motives for joining. Synergy is defined as the achievement of performances by the combined company over the achievements of an independent company, and some of the most important are: entering new markets, increase of the market share, expansion of the portfolio of products and services, elimination of the competition, access to new supply and distribution channels, development of new products, achieveing economies of scale. Experience has proved the following: if in the first year after aqusition and merger is not visible any of these synergy effects, it is possible that they will not be accomplished in the following years.
